...Hewlett Packard a major player in the industry for years had great success in the industry. At one point, there was no clear competitor for the industry giant. This however was changing as the company start to see sales growth and profitability decline. Many observers saw the company in danger of competitive threats in its server, printer, and personal computer markets. Industry conditions were worsening and hard times were steadily approaching. In addition, internal conflicts between departments hampered its ability to maintain its stance as the industry leader.

Hewlett-Packard proposed a $24 billion acquisition of rival Compaq in order to eliminate some of the problems that had arise.
